Terms of Service

1. INTRODUCTION
These Terms of Service(Terms) govern your access to and use of the TellTap Uganda Limited (TellTap) website, mobile applications, and all associated online services (collectively, the “Service”). By accessing or using the Service, you agree to be legally bound by these Terms.
TellTap operates as a consumer review, business listing, and user-generated content platform, but under the laws of the Republic of Uganda.
These Terms comply with:
- The Contracts Act, 2010
- The Data Protection and Privacy Act, 2019
- The Electronic Transactions Act, 2011
- The Computer Misuse Act, 2011
- Uganda Communications Commission (UCC) Consumer Protection Guidelines
If you do not agree to these Terms , you must discontinue use of the Service.
2. DEFINITIONS
- “User”, “You”
- Any person accessing or using the Service.
- “Business User”
- A user who manages or claims a business listing.
- “Content”
- Reviews, ratings, photos, videos, text, and other material posted on the Service.
- “Your Content”
- Content submitted by you.
- “Service Content”
- All content available on the platform, including user-generated content.
3. ELIGIBILITY TO USE THE SERVICE
You may use the Service only if:
- You are at least 18 years old; and
- You have legal capacity to enter contracts under Ugandan law.
Users under 18 must have guidance of a parent or guardian.
4. ACCOUNT CREATION AND RESPONSIBILITIES
To access certain features, you must create an account and provide accurate information.
You agree to:
- Maintain confidentiality of your password
- Take responsibility for all activity under your account.
- Notify TellTap of unauthorized account access
TellTap reserves the right to suspend or terminate accounts that violate these Terms.
5. User Content and Guidelines
Users may post content such as:
- Reviews
- Ratings
- Photos
- Videos
- Business suggestions
You agree NOT to post content that:
- Is defamatory, false, misleading, or unlawful
- Violates intellectual property rights
- Contains hate speech, harassment, or harmful content
- Promotes criminal activity
- Includes threats or incitement
- Post false, misleading, or defamatory information
- Harass, abuse, or threaten other users or businesses
- Violate any applicable laws or regulations
- Spam or engage in commercial solicitation
- Infringe on intellectual property rights
- Bypass security measures or attempt to gain unauthorized access
TellTap may edit, remove, or restrict content that violates these Terms or Ugandan law.
6. Content Ownership and License
You retain ownership of Your Content.
However, by posting on the Service, you grant TellTap a:
- Worldwide
- Irrevocable
- Royalty-free
- Non-exclusive
- Transferable
license to use, reproduce, distribute, display, modify, and create derivative works for the purpose of improving or operating the Service.
7. Business Accounts
Business Users agree to:
- Provide accurate business details
- Operate legally under Ugandan law
- Not solicit, request, or pay for reviews
- Not threaten users for negative reviews
- Not use fake accounts for self-promotion
8. Advertising & Paid Features
TellTap may display:
- Sponsored listings
- Paid business promotions
- Featured ads
Users are not entitled to compensation for advertisements displayed near their content.
Paid features for businesses do not influence:
- Review ranking
- Review visibility
- Star ratings
- Recommendation algorithms
9. Prohibited Activities
You agree NOT to:
- Create fake accounts or reviews
- Impersonate individuals or businesses
- Scrape or harvest TellTap data without permission
- Interfere with platform security
- Upload malware or harmful code
10. Data Privacy and Protection
TellTap collects and handles personal data in compliance with the Data Protection and Privacy Act, 2019.
Users may request:
- Correction of inaccurate data
- Deletion of personal data
- Withdrawal of consent
Data may be processed for:
- Account operation
- Fraud detection
- Improving the Service
11. Service Availability
TellTap does not guarantee:
- Uninterrupted services
- Error-free operation
- Accuracy of business listings
- Reliability of user-submitted reviews
Service may be modified or discontinued without notice.
12. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind.
TellTap is not responsible for:
- User-generated content
- Actions of third-party businesses
- Financial loss resulting from reliance on reviews
- Loss of data or reputation
13. Limitation of Liability
To the maximum extent permitted by Ugandan law, TellTap shall not be liable for:
- Indirect or consequential damages
- Loss of profits or revenue
- Business losses or reputational harm
- Misuse of information by third parties
Maximum liability is strictly limited to the amount paid by the user to TellTap in the previous 12 months, if any.
14. Dispute Resolution (Uganda)
TellTap uses a Hybrid Dispute Resolution Model:
- Negotiation (14 Days): Parties must first attempt to resolve disputes through good-faith negotiation.
- Mediation: If negotiation fails, the dispute shall be referred to mediation in accordance with the Judicature (Mediation) Rules.
- Arbitration: If mediation fails, the matter proceeds to arbitration under the Arbitration and Conciliation Act, Cap. 4.
- Venue: Kampala, Uganda
- Language: English
- Arbitrator: 1 (appointed mutually or by CADER)
- Courts of Law (Uganda): If arbitration fails or enforcement is necessary, the dispute shall be resolved exclusively in the Courts of Uganda, including:
- Magistrates Court
- High Court (Commercial Division)
15. Termination of Service
TellTap may suspend or terminate a user or business account for:
- Violation of these Terms
- Illegal or fraudulent activity
- Attempted manipulation of platform systems
Users may terminate accounts at any time.
16. Governing Law
These Terms are governed exclusively by the laws of the Republic of Uganda.
17. Entire Agreement
These Terms constitute the entire agreement between you and TellTap Uganda Limited and supersede all prior agreements relating to your use of the Service.
